Affiliate Agreement

This Save Your Life Affiliate Agreement (this “Agreement”) is between Save Your Life LLC, a Florida limited liability company (“Save Your Life”), and the individual or entity that applies to participate in the Save Your Life Affiliate Program and is approved by Save Your Life (“You” or “Affiliate”). The Save Your Life Affiliate Program (the “Program”) is made available through www.saveyourlifemovie.com (the “Save Your Life Site”), is owned by Save Your Life, and is operated using the affiliate-tracking platform provided by FirstPromoter (“FirstPromoter”). The Program may be modified only as provided in Section 20.
Please read this Agreement and the Program Terms carefully. You accept them by checking the acceptance box in the Affiliate application after this Agreement and the Program Terms have been presented to You. Save Your Life’s approval of Your application is a separate step described in Section 2. If You do not agree to this Agreement and the Program Terms, do not submit an application and do not use any Link.
1. Definitions. In this Agreement:
“Affiliate Center” means the online portal operated through FirstPromoter where Affiliates obtain Links and Approved Materials, view reports, and manage account settings.
“Applicable Law” means all laws, regulations and binding regulatory guidance that apply to You, the Program or Your activities, including consumer-protection, advertising, endorsement and disclosure, privacy, anti-spam, telemarketing, intellectual-property and tax laws.
“Approved Channel” means a website, social-media account, email list or other channel that You have identified to Save Your Life in Your application or through the Affiliate Center and that Save Your Life has approved in writing (which may be by email or through the Affiliate Center) for use in the Program, as provided in Section 3.
“Approved Materials” means the Links, trailers, clips, still images, key art, posters, text, captions and other promotional materials that Save Your Life makes available through the Affiliate Center or otherwise supplies to You in writing for use in the Program, in the form supplied.
“Commission,” “Commission Base,” “Commission Rate” and “Commission Tier” have the meanings given in Schedule 1, and “Eligible Item” means an item listed as eligible in Schedule 1, Part B.
“Customer Data” has the meaning given in Exhibit A.
“Film” means the documentary motion picture presently entitled Save Your Life.
“Individual Designation” means a written designation, issued or accepted by Save Your Life and (for Unpaid status) accepted by You, substantially in the form of Schedule 2, that states Your Commission Tier and any item-specific terms.
“Link” means a unique tracking link, embedded advertisement or code assigned to You through the Affiliate Center.
“Material Connection” means any connection between You and Save Your Life or the Film that might affect the weight or credibility that an audience gives Your statements, including any payment, Commission, free or discounted tickets or products, gift, perk, employment, family or business relationship, or other benefit.
“Platform Records” means the records generated and maintained by FirstPromoter and by Save Your Life’s order and payment systems.
“Program Terms” means the Save Your Life Affiliate Program Terms in effect from time to time, which are incorporated into this Agreement by reference and govern attribution, calculation, reporting, payment and account-eligibility mechanics. “Qualified Purchase” has the meaning given in the Program Terms.
2. Enrollment; Assent; Order of Precedence
2.1 Application and approval. You become an Affiliate only after Save Your Life approves Your application, whether manually or through an automated process. Save Your Life may automatically approve applications for the Standard tier at the 22% Commission Rate. Automatic approval does not confer Premium status; the 44% Premium tier requires Save Your Life’s separate written approval through an Individual Designation under Section 4.3. Approval may be withheld or withdrawn in Save Your Life’s discretion, but withdrawal of approval does not affect Commissions already earned (see Section 17.5). Save Your Life may require information to verify Your identity, eligibility, tax status and Approved Channels. Automatic approval does not waive any other requirement of this Agreement.
2.2 Assent and records. Save Your Life will keep a record of the date, time and version of this Agreement and the Program Terms that You accepted. Changes are made and accepted as provided in Section 20.
2.3 Order of precedence. If there is a conflict among the documents that govern the Program: (a) an Individual Designation controls the Commission Tier, Commission Rate and Eligible Items stated in it; (b) the Program Terms control attribution, calculation, reporting, payment timing, thresholds, holds and account-eligibility mechanics; (c) this Agreement, including Schedule 1, controls all other terms and the legal relationship of the parties; and (d) the Affiliate Program FAQ and other explanatory materials are provided for information only, do not create separate terms and cannot enlarge any entitlement. The Save Your Life Terms of Use govern general use of the Save Your Life Site but do not change Your Commission rights or any other term of this Agreement. The parties intend these documents to be read together consistently.
3. Approved Channels; Limited License
3.1 License. Subject to this Agreement, Save Your Life grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the term of this Agreement, to display Links and Approved Materials in Your Approved Channels solely to promote the Film and the Eligible Items and to direct audiences to the Save Your Life Site.
3.2 Approved Channels. You may use Links and Approved Materials only in Approved Channels. You will identify each channel when You apply and will tell Save Your Life before You add a new channel. Save Your Life will approve or decline a new channel within a reasonable time, may approve it subject to conditions, and may withdraw approval of a channel by notice (immediately in the circumstances described in Section 11.3). Without Save Your Life’s prior written consent in each instance, You may not place Links or Approved Materials (a) in pop-up, pop-under or similar advertisements delivered by third-party software; (b) in unsolicited email or other spam, banner networks, counters, guestbooks, IRC channels or similar internet resources; (c) in software applications, toolbars, add-ons or plug-ins; (d) in text messages or automated calls (see Section 9.4); (e) in paid advertising (see Section 10); or (f) on any website or account that contains adult content, promotes alcohol, tobacco or firearms, encourages hate speech or discrimination, or is otherwise unlawful or offensive, as Save Your Life determines in good faith.
3.3 Use and adaptation of Approved Materials. You may post Approved Materials as supplied. You may also make the following routine adaptations: resizing; cropping to fit a platform’s aspect ratio; compression and format conversion; shortening a supplied clip to meet a platform’s time limit without changing its meaning or sequence; and adding captions or subtitles that accurately reflect the audio. Any other edit is a material edit and requires Save Your Life’s prior written approval, including re-cutting or re-ordering footage, adding or replacing audio, voice or music, overlaying text that changes meaning, and any use of Approved Materials beyond the rights granted in this Section.
3.4 Required notices. You must keep legible, and must not remove, obscure or alter, any copyright, trademark or credit notice and any short-form medical notice that Save Your Life supplies with Approved Materials, in the manner supplied (for example, in the caption or on screen with a clip).
3.5 Links. You are responsible for installing and formatting Links properly. Save Your Life has no obligation to help. You must place Links so that they are unlikely to mislead end users and are reasonably likely to deliver bona fide transactions. Every Link must lead to the Save Your Life Site (www.saveyourlifemovie.com or a subdomain). You may not use “fake gate” pages or make a purchase from, or participation in, the Program a condition of other activities in Your Approved Channels. You will modify a Link within three (3) business days after Save Your Life’s reasonable request.
4. Commissions; Payment; Taxes
4.1 Commissions. Save Your Life will pay You a Commission on each Qualified Purchase of an Eligible Item, at the Commission Rate for Your Commission Tier, calculated on the Commission Base as set out in Schedule 1, and otherwise as provided in this Agreement and the Program Terms. No Commission is payable on anything other than a Qualified Purchase of an Eligible Item.
4.2 Commission Tiers. There are three Commission Tiers: Standard (twenty-two percent (22%)), Premium (forty-four percent (44%)) and Unpaid (zero percent (0%)). Your Commission Tier is Standard unless an Individual Designation states otherwise.
4.3 Premium status. Premium status exists only if Save Your Life specifically approves You and issues an Individual Designation. You cannot elect Premium status. Premium status applies only to Qualified Purchases completed on or after the effective date stated in the Individual Designation and only to the Eligible Items it covers. Save Your Life may end or change Premium status prospectively on at least fourteen (14) days’ written notice, and the change applies only to Qualified Purchases completed after the effective date stated in the notice. Premium status is not payment for recruiting anyone and does not depend on the number of persons You refer to the Program.
4.4 Unpaid participation. If You wish to participate without compensation, You may elect Unpaid status by accepting the acknowledgment in an Individual Designation. Unpaid status applies only to Qualified Purchases completed on or after the effective date stated in the Individual Designation. It does not reduce, cancel or affect any Commission You earned before that date, which remains payable under the Program Terms. Save Your Life may, but is not required to, approve a later written request to move from Unpaid to Standard status, prospectively only. An Unpaid Affiliate remains bound by this Agreement, including Sections 6 through 10.
4.5 No other compensation. Save Your Life pays no compensation for recruiting other participants, for sales made by anyone other than through Your Links, as a flat appearance or posting fee, as a guaranteed amount, or as any equity or profit participation, and nothing in this Agreement entitles You to any of these, unless a separate written agreement signed by Save Your Life says so. Save Your Life does not promise any level of sales or income.
4.6 Payment. Commissions are calculated, held, reported and paid as provided in the Program Terms, including the monthly payment schedule, the holding period, the minimum payment threshold, payment in U.S. dollars by PayPal, and the correction of payment details.
4.7 Reversals, offsets and holds. Save Your Life may reverse a Commission for a refunded, cancelled or charged-back purchase, may offset amounts that You owe in connection with Your account, and may hold Commissions on specific transactions while it investigates in good faith, in each case as provided in the Program Terms. Save Your Life will not forfeit Commissions earned on transactions that are unrelated to a breach of this Agreement.
4.8 Own purchases; good faith. Save Your Life will not pay a Commission on any transaction made by You or Your agents, or by anyone acting on Your behalf, using Your own Links. You may not cause any transaction that is not in good faith, including by using any device, program, robot, iframe, hidden frame, JavaScript pop-up window, redirect, or cookie-stuffing or forced-click technique.
4.9 Taxes. You are responsible for, and will pay when due, all taxes and similar charges based on or arising from payments made to You. You will provide the tax documentation that Save Your Life reasonably determines it needs (for example, an IRS Form W-9 or an applicable IRS Form W-8) before payment, and Save Your Life may withhold payment until it receives that documentation. Save Your Life will make the tax reports and withholdings that Applicable Law requires of it. Any tax process operated by PayPal does not satisfy or replace Your obligations or Save Your Life’s own.
4.10 Payment details. You are responsible for providing an accurate PayPal address and keeping it current. Save Your Life is responsible for payment errors that it makes. The Program Terms describe what happens when a payment cannot be delivered.
5. Participants; No Downline; Approved Subcontractors; Age
5.1 Eligibility. An Affiliate must be an individual who is at least eighteen (18) years old, or the age of majority in the individual’s jurisdiction of residence if older, or an entity that is organized, registered and in good standing in its jurisdiction of formation and in any jurisdiction where it does business, acting through an authorized representative. Each account may be used by one person (or one authorized representative of an entity) only, and accounts may not be created by bots or other automated means.
5.2 No downline or recruiting. You may not recruit, enroll or compensate others to participate in the Program, or create or cause to be created any promotion or arrangement that allows third parties to participate in the Program, and You may not offer or represent that Save Your Life will pay anyone any compensation. A person who wishes to participate must apply on his, her or its own behalf.
5.3 Approved subcontractors. You may use employees or contractors (for example, a social-media manager or editor) to operate Your Approved Channels only with Save Your Life’s prior written approval (which may be by email) in each instance. Each approved subcontractor must be bound in writing to terms at least as protective of Save Your Life as this Agreement. You remain fully responsible for the acts and omissions of Your employees and approved subcontractors as if they were Your own. An approved subcontractor has no account, no right to payment from Save Your Life and no rights under this Agreement. Save Your Life may withdraw approval by notice.
5.4 No promotion to minors. You may not direct promotion to children or other persons under eighteen (18) years of age, including through content primarily directed to them, and You will use the audience-targeting settings available on each platform reasonably to avoid doing so.
6. Truthful Promotion; Health and Medical Claims
6.1 Accurate statements. Every statement You make about the Film, the Program, the Save Your Life Site, its terms of use or its pricing must be accurate and not misleading. You may not state or imply that You are, or that Your statements are made by, Save Your Life, its cast, crew or participants, or that any of them endorses You or Your content, except as stated in Approved Materials.
6.2 Honest experience. Any opinion or description of experience You give must be Your honest opinion and actual experience. You may not say You have seen or used the Film or any product unless that is true, and You may not invent or post any review, testimonial, persona or account that is false or that misrepresents who is speaking. You may not buy, sell or use fake followers, views, likes or other indicators of influence. Nothing in this Agreement requires You to express a favorable opinion of the Film.
6.3 Health and medical subject matter. The Film concerns health and medical subjects. When You promote the Film, You may describe it using the documentary descriptions that Save Your Life supplies in the Approved Materials. You may not (a) state or imply that the Film, any participant in it, or Save Your Life diagnoses, treats, cures, mitigates or prevents any disease or condition; (b) state or imply that any treatment, practitioner, product or protocol shown or discussed is safe or effective, or will produce any result for any person; (c) invent, exaggerate or embellish any medical success story, patient experience or outcome, or present any individual’s experience as typical; (d) advise or suggest that anyone stop, delay or change any medical treatment or medication or avoid professional medical advice; (e) give medical advice in connection with the Program or present Yourself as a medical authority; or (f) make any other claim about health, efficacy or safety that is not contained in the Approved Materials or approved by Save Your Life in writing.
6.4 Medical notice with clips. Whenever You use film clips or other material that discusses medical subject matter, You must include the short-form medical notice that Save Your Life supplies with that material, in the manner supplied.
6.5 Platform rules. You will comply with Applicable Law and with the terms of use and policies of each third-party platform on which You promote (for example, Facebook, Instagram, YouTube, TikTok, X, Reddit, Rumble and Telegram).
7. Disclosure of Material Connections
7.1 Requirement. Each time You post a Link or otherwise promote the Film or the Program, You must clearly and conspicuously disclose every Material Connection, as required by the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), other Applicable Law and platform rules.
7.2 Paid Affiliates. If You are a Standard or Premium Affiliate, You must disclose that You may earn a commission. Suggested wording is: “I may earn a commission if you buy through this link.” Equally clear wording is acceptable. A bare label such as “affiliate,” “aff,” “partner,” “collab” or “link in bio,” on its own, is not a sufficient disclosure.
7.3 Placement. A disclosure must be in the same language and medium as the promotion; must be close to the endorsement and the Link; must be easy for an ordinary reader, viewer or listener to notice and understand; and must be visible without clicking “more,” expanding text, scrolling or opening a link, so that on platforms that truncate text it appears before the truncation. A disclosure that appears only in a profile biography, a general page, a cluster of hashtags, or a platform’s disclosure tool is not sufficient by itself.
7.4 Disclosure by channel. In addition to Section 7.3: (a) in written posts, captions, blogs and emails, the disclosure must appear in each post or message, near the Link; (b) in images, stories and other short-lived content, it must be superimposed on the image or video frame long enough to be read, on each frame that contains the endorsement or Link; (c) in video, it must be both spoken and shown on screen near the start of the video and again near each Link or call to action, and a disclosure only in the video description is not sufficient; (d) in live streams, it must be spoken and shown on screen at the start and repeated at reasonable intervals so that viewers who join late encounter it, and again with each call to action; (e) in audio and podcasts, it must be spoken near the start and each time a Link or code is mentioned, in addition to any show notes; and (f) You should also use any paid-partnership or disclosure tool that the platform offers, but in addition to, and not instead of, the disclosures required by this Section.
7.5 Unpaid Affiliates. If You are an Unpaid Affiliate, You will not describe Yourself as paid or as earning a Commission. You must still disclose any other Material Connection that exists, such as free or discounted tickets, products, travel or access, gifts or perks, any employment, family or business relationship with Save Your Life, its producers or the Film, or any participation in or financial interest in the Film. If You have no Material Connection, no disclosure of a Commission is required.
7.6 Updates and records. If Your Commission Tier or any other Material Connection changes, You must update Your disclosures in new content promptly and, where You can, in content already posted. You must keep a copy, screenshot or recording of each promotion that contains a Link (including short-lived content) for at least one (1) year after it is posted and provide it to Save Your Life on request.
8. Artificial Intelligence and Synthetic Content
8.1 Prohibited uses. You may not use artificial-intelligence tools to generate, alter, synthesize, clone or reproduce any portion of the Film, poster, trailer, soundtrack, score or other audio, or any other Approved Materials, or the images, video, audio, voice or likeness of the cast, crew, participants or other persons affiliated with Save Your Life, for use in connection with the Program, without Save Your Life’s prior written consent in each instance. This includes AI-generated or AI-altered versions of the Film’s scenes, poster or key art; AI-generated or cloned voice or audio purporting to come from the Film, its score or its cast; “deepfake” content; synthetic endorsements or testimonials attributed to Save Your Life, its personnel or any other person; and AI-generated personas or avatars presented as real people who review or recommend the Film.
8.2 Routine edits and substantive manipulation. The routine adaptations described in Section 3.3 are not prohibited by Section 8.1. Substantive manipulation is prohibited without Save Your Life’s prior written consent whether or not AI tools are used. Substantive manipulation includes changing what a person appears to say or do; adding, replacing or altering audio, voice or music; generating or altering imagery of people; and re-cutting or re-ordering scenes so that their meaning changes.
8.3 Your own AI-assisted content. Content that You create with AI tools to promote the Program, and that does not incorporate or derive from the Film, the Approved Materials or any Save Your Life likeness, must still be accurate, must comply with Sections 6 and 7, and remains subject to Save Your Life’s approval rights. You are responsible for the accuracy of any AI-assisted text and for any AI-content label that a platform or Applicable Law requires.
8.4 No training. You may not use Approved Materials to train or fine-tune any artificial-intelligence model.
9. Email, Text Messages and Other Direct Outreach
9.1 Email. You may solicit prospective customers by email only through an Approved Channel, only to persons who are on a list that You built lawfully through double opt-in, and in compliance with the CAN-SPAM Act of 2003 (15 U.S.C. §§ 7701–7713) and other Applicable Law. You may not use purchased, rented, scraped or harvested lists.
9.2 Required content. Each email must include (a) accurate header information and a “from” line that accurately identifies You as the sender; (b) a subject line that accurately reflects the content of the message; (c) a clear and conspicuous identification that the message is an advertisement; (d) Your valid physical postal address, and not an address that misidentifies the sender; (e) a clear and conspicuous opt-out mechanism that works for at least thirty (30) days after the message is sent; and (f) the disclosure required by Section 7. You must honor each opt-out request promptly and in any event within ten (10) business days, and may not sell or transfer the address of a person who has opted out except as the law allows.
9.3 Subscriber data; complaints. You may not harvest or compile email addresses from the Save Your Life Site or the Affiliate Center, and You may not sell, rent or transfer Your subscribers’ data to any third party for promotional purposes (other than to the email service provider that sends messages on Your behalf under an agreement that protects the data). If Save Your Life receives an opt-out request or complaint about a message You sent, You will honor it and cooperate in resolving it.
9.4 Text messages and automated calls. You may not send, or cause to be sent, any Link or promotion by text message (including SMS and MMS) or by automatic telephone dialing system or artificial or prerecorded voice, unless (a) Save Your Life has given You prior express written authorization for that campaign, and (b) You have obtained, and can document on request, each recipient’s prior express written consent in the form required by the Telephone Consumer Protection Act (47 U.S.C. § 227), the Federal Communications Commission’s rules, state law and carrier requirements. Compliance with the email rules in this Section does not authorize text messaging.
10. Prohibited Conduct
10.1 Prohibited conduct. You may not: (a) represent or imply that You are Save Your Life, an agent of Save Your Life, or part of Save Your Life or any associated company; (b) register or use any domain name, social-media handle or account name that contains, or is confusingly similar to, a Save Your Life trademark, the title of the Film or any associated name, without Save Your Life’s written approval; (c) bid on, buy or use as a keyword any Save Your Life trademark, the title of the Film or any variant (“keyword bidding”); (d) run, boost or sponsor any paid advertising campaign (including paid social, paid search, display or sponsored-influencer amplification) that uses a Link, Approved Materials or any Save Your Life trademark without Save Your Life’s prior written approval of that campaign; (e) send spam, or post unsolicited bulk comments or direct messages that contain a Link; (f) use hidden, automatic, forced or deceptive links or redirects; (g) copy, stream, rip, upload or distribute the Film or any part of it other than Approved Materials; or (h) sublicense, sell or transfer any right granted to You.
11. Monitoring; Correction; Suspension
11.1 Review and records. Save Your Life will monitor the Program in the manner it reasonably determines, including by periodically reviewing Approved Channels, and will keep records of the notices and corrections it requests. Save Your Life may require prior approval of any content, channel or campaign by notice to You. Within five (5) business days after a request, You will give Save Your Life the links, copies, screenshots and recordings of Your promotions (including short-lived content), evidence of Your disclosures, records of the consents on Your email lists, and other information it reasonably needs to verify compliance with this Agreement.
11.2 Correction and takedown. If Save Your Life notifies You that content or a practice violates this Agreement, is likely to mislead, or may violate Applicable Law, You will correct or remove it within twenty-four (24) hours after the notice (or within the longer time that the notice states), and You will publish any corrective statement or disclosure that Save Your Life reasonably requests. Notice by email is sufficient.
11.3 Suspension. Save Your Life may suspend Your account, Links and Approved Channel approvals immediately and without prior notice if it reasonably believes that You have committed a serious violation, which includes: false or unsupported health, efficacy or safety claims; advice to stop or delay treatment; fake reviews or testimonials or synthetic endorsements; a deliberate or repeated failure to make required disclosures; spam or unauthorized text messaging; fraud, self-referral or manipulation of tracking; infringement or impersonation; unlawful activity; a sanctions concern; a legal or regulatory demand; or a threat to the security or integrity of the Program or to the safety of any person. Save Your Life will tell You that You have been suspended, and in general terms why, within five (5) business days unless it is legally prevented from doing so. Purchases made during a suspension are not Qualified Purchases.
11.4 Third-party complaints. Save Your Life will consider in good faith any third-party complaint about Your promotions and may act under this Section after a reasonable, good-faith assessment of it.
11.5 No reliance on review. Save Your Life’s review, approval or failure to review is not a representation that any content complies with Applicable Law and does not relieve You of responsibility for it.
12. Customer Data; Privacy
12.1 Minimum necessary data. Save Your Life limits Affiliates to reports needed to operate the Program. The Affiliate Center displays referred customers’ email addresses only in partially masked form. Masking does not make that information anonymous, and partially masked and transaction-linked data may remain personal information. Exhibit A applies to all Customer Data made available to You. You may not attempt to identify any purchaser or visitor, reconstruct a purchaser’s or visitor’s contact details, contact or market to any of them, or profile them, from information the Program provides, and You may not sell that information.
12.2 No sale or harvesting. You may not sell, rent, disclose or use Customer Data to market any product or service, to build any list, or for any purpose other than those permitted by Exhibit A.
12.3 Your own audience data. Where You collect personal information from Your own audience through an Approved Channel, You are responsible for that collection and use and for complying with Applicable Law, including privacy law. If You operate a website or email program, You must maintain a privacy notice that accurately describes Your collection, use and sharing of personal information, including any tracking technology provided by Save Your Life or FirstPromoter that You embed, with a prominent link to it.
12.4 Roles and applicable law. The parties’ roles under privacy law depend on the facts. Each party will comply with the privacy laws that apply to it, including the EU and UK General Data Protection Regulations and U.S. state privacy laws where they apply. You do not process Customer Data on Save Your Life’s behalf unless the parties first sign a written data processing agreement that contains the terms Applicable Law requires.
12.5 Save Your Life Privacy Policy. Save Your Life’s handling of the personal information of visitors and customers is described in its Privacy Policy, which is posted at https://saveyourlifemovie.com/privacy.
13. Intellectual Property
13.1 Ownership; no transfer of Film rights. Except for the license in Section 3.1, Save Your Life and its licensors retain all right, title and interest in and to the Links, the Approved Materials, the Film (including its footage, music and score, still images, key art and title), the Save Your Life Site, all Save Your Life trademarks and service marks and associated goodwill, and the names, voices and likenesses of the cast, crew and participants that Save Your Life or its licensors control. Nothing in this Agreement transfers or licenses any underlying right in the Film, or any right to exhibit, distribute, stream or copy the Film. Music and other third-party material in Approved Materials is licensed to You only as embedded in the Approved Materials in the form supplied, and You may not extract or reuse it. You are responsible for obtaining the rights to any music, image or other third-party material that You add to Your own content.
13.2 Trademarks. You will not use or register (or make any filing with respect to) any Save Your Life trademark or service mark, or any name, domain name, trade dress or other designation similar to them, anywhere in the world, except as Approved Materials show them. All use of Save Your Life trademarks and the associated goodwill benefits Save Your Life and its associated companies.
13.3 Your content. You retain ownership of Your original content (other than Approved Materials and Save Your Life trademarks). You grant Save Your Life a non-exclusive, worldwide, royalty-free license (a) to retain and archive copies of Your promotions (including screenshots and recordings) for compliance and dispute purposes, and (b) to link to and reshare Your public posts about the Film through the platform’s own sharing tools, with attribution to Your handle, for as long as they remain publicly posted.
14. Representations
14.1 Your representations. You represent and warrant to Save Your Life that: (a) You meet the eligibility requirements of Section 5.1; (b) You are not listed on the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List or any other U.S. government restricted-party list, and You are not located in, ordinarily resident in or organized in a country or territory that is the target of comprehensive U.S. sanctions; (c) You have the authority to enter into this Agreement, which is Your legal, valid and binding obligation; (d) the information in Your application, including the identity of Your Approved Channels and Your audience, is accurate, and You control or are authorized to use each Approved Channel; (e) Your promotions and Your own content, as You make and post them, comply with Applicable Law (including disclosure, consumer-protection, anti-spam, telemarketing and privacy law) and do not infringe or misappropriate any third party’s intellectual-property, privacy or publicity rights or defame any person; and (f) You are not party to any agreement that conflicts with Your obligations under this Agreement.
15. Indemnification
15.1 Scope. You will defend, indemnify and hold harmless Save Your Life, its members, managers, officers, employees and agents, and the service providers through which it operates the Program (including FirstPromoter) from and against third-party claims, and the resulting damages, settlements, judgments, fines and penalties (to the extent the law permits indemnity for them), costs and reasonable attorneys’ fees, to the extent they arise out of: (a) Your breach of Section 14 or any other material provision of this Agreement; (b) Your promotions or other conduct that violate Applicable Law, including false or unsupported claims, failure to make required disclosures, unlawful email or text outreach, and misuse of data; (c) any allegation that Your content, or Your modification of Approved Materials, infringes or violates any intellectual-property, privacy, publicity or other right of a third party or is defamatory; or (d) acts or omissions of You, Your employees or Your approved subcontractors that are outside the authority this Agreement grants or that breach it.
15.2 Exclusions. You have no obligation under Section 15.1 to the extent that a claim arises from Approved Materials that You used as supplied and in compliance with this Agreement, or from Save Your Life’s own negligence, willful misconduct or breach of this Agreement.
15.3 Procedure. Save Your Life will give You prompt written notice of a claim (a delay relieves You only to the extent it prejudices You). You will assume and control the defense with counsel reasonably acceptable to Save Your Life. Save Your Life may participate with its own counsel at its own expense, or at Your expense if there is a conflict of interest or if You do not assume the defense within fifteen (15) days after notice. You may not settle a claim on terms that impose any obligation on, or admit fault of, an indemnified person without that person’s prior written consent, which may not be unreasonably withheld. Save Your Life will cooperate reasonably, at Your expense. If You do not defend, Save Your Life may do so and recover its reasonable costs from You.
16. Confidentiality; Permitted Disclosures; Publicity
16.1 Confidential information. You will keep confidential, and use only for the Program, the non-public information that Save Your Life gives You, including unreleased materials, non-public pricing, and the terms of any Individual Designation.
16.2 Permitted disclosures. Nothing in this Agreement prevents You from: (a) making any disclosure about Your relationship with Save Your Life, the existence of the Program or Your compensation that is required by the Federal Trade Commission’s Endorsement Guides, other Applicable Law or platform rules, including the disclosures required by Section 7; (b) consulting Your own attorneys, accountants, and tax and financial advisers, and Your approved subcontractors, who are bound to keep the information confidential; (c) disclosing information as required by law, court order or legal process (and, where legally permitted, You will give Save Your Life notice first so that it may seek protection); or (d) communicating with, responding to, or providing information to any government, regulatory, law-enforcement or self-regulatory authority, or exercising any right that cannot lawfully be waived, without notice to Save Your Life.
16.3 Publicity. Except as permitted by Section 16.2 and by the use of Approved Materials, You will not issue a press release or public statement about the terms of this Agreement without Save Your Life’s prior written consent. Save Your Life will not use Your name or likeness to promote the Film except as provided in Section 13.3 without Your consent.
17. Term; Termination; Final Accounting
17.1 Term. This Agreement continues until it is terminated under this Section.
17.2 Termination by You. You may terminate this Agreement at any time, for any reason, by notice to Save Your Life through the Affiliate Center or by email.
17.3 Termination by Save Your Life. Save Your Life may terminate this Agreement, or end the Program or any Eligible Item, for any reason on at least fourteen (14) days’ notice. Save Your Life may terminate this Agreement for a breach by notice if the breach is not cured within five (5) business days after notice (where it can be cured), and immediately by notice in the case of a serious violation described in Section 11.3.
17.4 Effect of termination. On the effective date of termination, Your Links stop attributing new purchases, and purchases completed after that date are not Qualified Purchases. Within ten (10) business days, You must remove or disable all Links and remove all Approved Materials from Your Approved Channels (and, where You cannot delete a post on a third-party platform, disable the Link and remove the Approved Materials as far as the platform permits), and delete or return Save Your Life’s confidential information.
17.5 Final accounting. Within thirty (30) days after termination, Save Your Life will make available to You a final statement of the Qualified Purchases attributed to You through the effective date of termination and the status of each Commission. Save Your Life will pay all undisputed Commissions earned on Qualified Purchases completed before termination, after the applicable holding periods, even if they total less than the minimum payment threshold, subject only to the reversals, offsets, tax-documentation requirements and investigation holds described in the Program Terms. A breach does not cause forfeiture of Commissions on transactions that are unrelated to the breach.
17.6 Survival. Sections 13, 14, 15, 16, 17.4, 17.5, 18, 19 and 23 and any accrued payment obligation survive termination of this Agreement, as does Exhibit A for as long as You hold any Customer Data.
18. Disclaimer of Warranties. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, NEITHER SAVE YOUR LIFE NOR FIRSTPROMOTER MAKES ANY WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM, THE SAVE YOUR LIFE SITE, THE ACCURACY OR AVAILABILITY OF TRACKING, OR THE AMOUNT OF COMMISSIONS YOU WILL EARN, AND EACH DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
19. Limitation of Liability
19.1 Limits. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO SECTION 19.2, NEITHER SAVE YOUR LIFE NOR FIRSTPROMOTER WILL BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY, (I) FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS (OTHER THAN COMMISSIONS EARNED UNDER THIS AGREEMENT), OR (II) IN ANY CASE, FOR ANY AMOUNT IN EXCESS, IN THE AGGREGATE, OF THE COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT DURING THE SIX-MONTH PERIOD BEFORE THE DATE THE CAUSE OF ACTION AROSE. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above exclusions and limitations may not apply to You.
19.2 Exceptions. Nothing in Section 19.1 limits or reduces (a) Save Your Life’s obligation to pay Commissions that have been earned and have become payable under this Agreement and the Program Terms, or (b) any liability for fraud, willful misconduct or gross negligence, or any other liability that cannot be limited under Applicable Law.
20. Changes to the Program and This Agreement
20.1 Notice. Save Your Life may change the Program, the Eligible Items, Schedule 1, the Program Terms or this Agreement by giving You notice by email to the address on Your account and by posting the change in the Affiliate Center. The notice will describe the change and its effective date, which will be at least thirty (30) days after the notice, except that a change may take effect sooner if Applicable Law requires, if it is needed to address fraud or a security risk, if it benefits You, or if an Eligible Item is no longer offered for sale.
20.2 Prospective effect. A change to Commission Rates, the Commission Base, Eligible Items or payment terms applies only to Qualified Purchases completed on or after its effective date. A change does not reduce, cancel or reverse any Commission earned on a Qualified Purchase completed before its effective date and does not lengthen a holding period that is already running.
20.3 Acceptance of changes. You accept a change that has been notified under Section 20.1 either by clicking an acceptance when the Affiliate Center asks You to, or by continuing to use any Link or Approved Material, or otherwise to participate in the Program, after the effective date. Your silence during the notice period is not by itself acceptance. If You do not agree to a change, You may terminate this Agreement under Section 17.2 at any time, before or after its effective date, and You will continue to be paid, under the terms in effect before the change, for Commissions earned on Qualified Purchases completed before termination.
21. Independent Contractors
21.1 Relationship. The parties are independent contractors. This Agreement does not create an employment, partnership, joint-venture or agency relationship. You have no authority to bind Save Your Life or to make any promise or representation on its behalf. Save Your Life does not provide You any benefits, and You are responsible for Your own expenses and taxes. Subject to this Agreement, You decide the manner and means of Your promotion.
21.2 No effect on classification. This Section states the parties’ intent and the arrangement they have structured. It does not itself decide how any law classifies the relationship, which depends on Applicable Law and the facts.
22. Notices
22.1 Notices to You. Save Your Life may give You notice by email to the address on Your account or by posting in the Affiliate Center. A notice by email is given when sent, unless Save Your Life receives a notice that it was not delivered. You are responsible for keeping Your email address current.
22.2 Notices to Save Your Life. All operational and contractual notices to Save Your Life, including notices of a claim, must be sent by email to saveyourlife444@gmail.com. A notice is effective when sent unless the sender receives a delivery-failure notice. Keep a copy of the notice and its transmission record. This contractual notice procedure does not replace service of process or any delivery method that applicable law requires.
23. Governing Law; Venue; Class and Representative Actions
23.1 Governing law. This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws provisions. This Section does not deprive You of any protection of mandatory law that cannot be waived by agreement.
23.2 Venue. The state courts located in Broward County, Florida, or the United States District Court for the Southern District of Florida are the exclusive forums for actions related to this Agreement, and each party consents to their jurisdiction and venue, subject to any nonwaivable right to another forum.
23.3 Class and representative actions. TO THE EXTENT PERMITTED BY APPLICABLE LAW, NEITHER YOU NOR SAVE YOUR LIFE WILL HAVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE ACTION, AS A REPRESENTATIVE OR MEMBER, IN CONNECTION WITH THIS AGREEMENT OR THE SAVE YOUR LIFE SITE. This Section does not waive any right that cannot lawfully be waived, including any right to seek public injunctive relief.
23.4 Fees. In any action to enforce rights under this Agreement, the prevailing party is entitled to recover its costs and reasonable attorneys’ fees.
24. General
24.1 Waiver. No waiver of any term is a further or continuing waiver of that or any other term, and Save Your Life’s failure to assert any right or provision is not a waiver of it.
24.2 Assignment. You may not assign this Agreement without Save Your Life’s prior written consent, and any purported assignment in violation of this Section is void. Save Your Life may assign this Agreement in whole or in part.
24.3 Events beyond control. Save Your Life is not responsible for any delay in performing its obligations caused by events beyond its reasonable control, but this does not excuse the eventual payment of Commissions that have been earned.
24.4 Entire agreement; severability. This Agreement (including the Program Terms, Schedule 1, any Individual Designation and Exhibit A) is the complete agreement of the parties about its subject matter and supersedes any other written or oral agreement about it. If any provision is held illegal or unenforceable, it will be limited or eliminated to the minimum extent necessary and the rest of this Agreement remains in effect. FirstPromoter is an intended third-party beneficiary of Sections 15, 18 and 19 only. This Agreement may be accepted electronically.

Part C — Commission Base and Formula
C.1 Formula. Commission = Commission Rate × Commission Base, rounded to the nearest cent, calculated for each Qualified Purchase.
C.2 Commission Base. The Commission Base is the amount that Save Your Life actually receives from the purchaser for the Eligible Items in the Qualified Purchase, after any discount, coupon or promotional price applied at checkout, less (a) amounts refunded, cancelled or charged back; (b) sales, use, value-added and similar taxes collected; (c) shipping, handling and delivery charges collected; and (d) the Third-Party Processing Fees for that payment, apportioned pro rata where one payment covers several items.
C.3 Third-Party Processing Fees. “Third-Party Processing Fees” means the per-transaction payment-processing fees (the percentage fee and any fixed fee) that the payment processor, Stripe, charges Save Your Life for processing that payment. No ticketing-platform fee is deducted. No other cost is deducted. In particular, Save Your Life does not deduct overhead, advertising or marketing expenses, production or personnel costs, or any other discretionary cost.
C.4 Bundles and discounts. If an Eligible Item is sold in a bundle or at a discount together with other items, the price actually received is allocated among the items in proportion to their standalone list prices, and only the amount allocated to Eligible Items is included in the Commission Base. An item provided free of charge has a Commission Base of zero.
Schedule 2 — Individual Designation (Form)
An Individual Designation is issued or accepted for a single Affiliate. It is effective only for the dates and items it states, and it does not change any Commission earned before its effective date.

Exhibit A — Customer Data Use and Confidentiality Terms
A.1 Scope and roles. These terms apply to any personal information about purchasers or visitors of the Save Your Life Site made available to You, including partially masked email addresses and information linked to a transaction or person ("Customer Data"). Save Your Life intends to limit reports to the minimum data needed for attribution and accounting. These terms do not establish that You are a processor acting on Save Your Life’s behalf. If the actual arrangement requires a data processing agreement or other privacy terms under Applicable Law, the parties must put those terms in place before the relevant processing begins. Any such agreement governs that processing.
A.2 Limited use. You may use Customer Data only to (a) reconcile and verify Your Commissions and the performance of Your Links, (b) respond to support questions about Your account, and (c) comply with Applicable Law. You may not use Customer Data to contact or market to any person, combine it with other data to identify any person, reconstruct any person’s contact details, profile any person, or attempt to re-identify any de-identified information. You may not sell, rent, license or disclose Customer Data to any third party, and You may share it with an approved subcontractor only to the extent needed and on equivalent terms.
A.3 Minimum necessary. Save Your Life will provide, and You will keep, only the minimum Customer Data needed for the purposes in Section A.2. Save Your Life may limit the data it provides at any time.
A.4 Confidentiality and security. You will keep Customer Data confidential and will ensure that every person who has access to it is bound by a duty of confidentiality. You will maintain reasonable administrative, technical and physical safeguards appropriate to the data, including access controls, encryption in transit and (where available) at rest, and no storage on shared or unsecured devices.
A.5 Incidents. You will notify Save Your Life promptly, and in any event within seventy-two (72) hours, after You discover any unauthorized access to, or loss or disclosure of, Customer Data. You will give Save Your Life the information it reasonably requests, cooperate in investigating and remedying the incident, and not notify any individual or regulator about Save Your Life’s customers without Save Your Life’s consent unless the law requires You to do so.
A.6 Requests and complaints. You will forward to Save Your Life, within five (5) business days, any request or complaint from an individual or regulator that concerns Customer Data, will not respond to it except as the law requires, and will assist Save Your Life reasonably in responding.
A.7 Return or deletion. On Save Your Life’s request, and on termination of this Agreement, You will delete or return all Customer Data within thirty (30) days and, on request, confirm that You have done so, except to the extent the law requires You to retain it. Retained data remains subject to these terms and may be used only for the purpose of the legal requirement.
A.8 International transfers. Save Your Life will not provide Customer Data to You, and You will not transfer it to or access it from any country outside the United States, unless (a) Save Your Life has confirmed in writing that the transfer is permitted, and (b) any transfer mechanism that Applicable Law requires for that transfer (such as an adequacy decision, the European Commission’s standard contractual clauses adopted by Implementing Decision (EU) 2021/914, or the United Kingdom’s addendum to them) has been put in place by written agreement of the parties and is appropriate to the actual parties, data and transfer. Neither party relies on any legacy transfer framework or assumes that any certification or adequacy status applies.
A.9 Verification and cooperation. Save Your Life may send You a security questionnaire about Your handling of Customer Data, which You will complete accurately and promptly. Save Your Life may ask for it no more than once a year unless there has been an incident or it has reason to believe You are not complying. You will cooperate reasonably with any regulatory investigation to the extent it relates to Customer Data You hold. Each party bears its own costs, except that You bear the cost of an investigation caused by Your acts or omissions.
A.10 Survival; conflict. This Exhibit continues for as long as You hold any Customer Data. If it conflicts with the rest of this Agreement about Customer Data, this Exhibit controls.
